PRODUCT, VARIATIONS, CHANGES & USE

Effective Date: 16.03.2026
Version: v1.0

This page applies only where it is expressly listed in Appendix A to a signed Made-to-Order Modular Sofa Purchase Agreement with MARYEEFI DESIGN LIMITED. The version effective on the date of the signed Agreement applies to the order. In the event of any conflict between this page and the signed Agreement or Appendix A, the signed Agreement and Appendix A prevail.

1. MADE-TO-ORDER PRODUCT BASIS

Each the Seller sofa is made to order based on the specifications approved by the Buyer and stated in Appendix A.

The approved order details may include, where applicable:
- model name or base model;
- module configuration;
- dimensions;
- selected fabric or upholstery;
- colour direction;
- print or cover direction;
- additional details or project-specific notes.

The Buyer is responsible for carefully reviewing and approving the specifications stated in Appendix A before production begins.

2. PRODUCT APPROVAL

By signing the Agreement and Appendix A, the Buyer confirms that the product characteristics stated in Appendix A have been reviewed and approved prior to production.

Once production has commenced, the order is treated as a made-to-order purchase based on those approved specifications.

3. REASONABLE COMMERCIAL VARIATIONS

Because each sofa is made to order, reasonable commercial variations may occur between digital references and the finished product.

Actual colour, shade, texture, print perception, stitching appearance, and overall visual effect may vary from:
- digital images;
- renderings;
- screen-based references;
- mock-ups;
- sample photographs;
- previously produced pieces.

Such variation may result from:
- lighting conditions;
- screen calibration and display settings;
- photography processing;
- fabric direction;
- pile or nap of fabric;
- print placement tolerances;
- material batch variation;
- hand-finishing;
- and normal manufacturing tolerances.

Reasonable commercial variations do not constitute a defect or non-conformity where the sofa substantially conforms to the approved design direction, approved materials, and approved specifications stated in Appendix A.

4. WHAT IS NOT TREATED AS A DEFECT

The following are not treated as defects where commercially reasonable and consistent with the approved order:
- minor colour or tone differences from screen-based references;
- variation in texture, fabric direction, or pile appearance;
- minor variation in print placement or print perception;
- slight differences caused by lighting, photography, or environment;
- soft furnishing settling after unpacking and initial use;
- natural material behaviour and normal made-to-order tolerances.

5. CANCELLATION BEFORE PRODUCTION COMMENCES

If the Buyer wishes to cancel the order before production commences, the Buyer must contact the Seller in writing as soon as possible.

The Seller will confirm in writing whether production has started.

If production has not yet commenced, cancellation may be possible subject to written confirmation by the Seller and subject to the terms of the signed Agreement and any applicable payment terms.

6. CANCELLATION AFTER PRODUCTION COMMENCES

Once production has commenced, the order is treated as a made-to-order order and cancellation rights become limited.

Unless otherwise required by applicable law or expressly agreed in writing:
- all amounts already paid are non-refundable; and
- the Buyer remains responsible for work completed, materials purchased, and costs reasonably committed by the Seller up to the cancellation date, to the extent not already covered by amounts paid.

Nothing on this page excludes or limits any mandatory consumer right or remedy that cannot lawfully be excluded or limited under applicable law.

7. CHANGES AFTER PRODUCTION COMMENCES

If the Buyer requests changes after production has commenced, the Seller may, at its discretion:
- decline the requested change; or
- accept the requested change subject to revised pricing, revised production timing, and written confirmation by both Parties.

No requested change is binding unless confirmed in writing.

Changes may affect:
- price;
- production schedule;
- delivery schedule;
- material availability;
- and final appearance.

8. REPLACEABLE PARTS AND MODULES

Where technically feasible and commercially available, the Seller may offer replacement elements, additional modules, or selected replaceable components.

Availability depends on:
- the model;
- approved configuration;
- fabric or cover selection;
- print direction;
- supplier and production availability;
- and the nature of the request.

The Seller does not guarantee indefinite future availability of the same materials, fabrics, prints, colours, or components.

Requests for replacement parts, additional modules, or later additions outside warranty coverage may be quoted separately.

9. MODULAR SYSTEM NOTES

Where the purchased product is based on a modular sofa system, module arrangement and overall composition are those approved in Appendix A.

If the Buyer later wishes to add modules or expand the configuration, such request will be treated as a new commercial request and will be subject to then-current pricing, production feasibility, and material availability.

The Seller does not guarantee that future additions will be available in identical material batches, dye lots, print placement, or visual finish.
